Terms of Service

Effective date: April 26, 2026

These Terms of Service (“Terms”) govern your access to and use of the Washington & Wells Client Portal, including our mobile applications, web portal, and related features (collectively, the “Services”), provided by Washington & Wells (“we,” “us,” or “our”). By creating an account, accessing, or using the Services, you agree to these Terms.

1. Agreement to terms

If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, you must not use the Services.

Our Privacy Policy explains how we collect and use personal information and is incorporated by reference where applicable.

2. Eligibility and the Services

The Services are intended for authorized clients, prospective clients expressly invited to use the Services, and personnel acting on their behalf. You must be of legal age to form a binding contract in your jurisdiction and not barred from using the Services under applicable law.

We may modify, suspend, or discontinue features of the Services at any time, with or without notice, except where prohibited by law. We do not guarantee uninterrupted or error-free operation.

3. Accounts and security

You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must provide accurate, current information and promptly update it when it changes. You must notify us immediately at support@washingtonandwells.com if you suspect unauthorized access.

We may refuse registration, suspend access, or terminate accounts that violate these Terms or pose a security risk.

4. Acceptable use

You agree not to:

  • Use the Services for any unlawful purpose or in violation of any applicable law;
  • Attempt to gain unauthorized access to the Services, other users’ accounts, or our systems (including probing, scanning, or testing vulnerabilities);
  • Upload malware, interfere with infrastructure, or overload the Services (for example, denial-of-service attacks);
  • Copy, scrape, reverse engineer, or decompile the Services except to the limited extent expressly permitted by applicable law;
  • Use the Services to send spam, harass others, or distribute content that is defamatory, obscene, or infringes third-party rights;
  • Misrepresent your identity or affiliation, or use another user’s credentials without permission.

6. Confidentiality

We implement safeguards designed to protect information transmitted through the Services. You agree to use reasonable care when handling matter-related information and to comply with any additional confidentiality obligations communicated to you in connection with specific matters.

7. Intellectual property

We and our licensors own all rights, title, and interest in the Services, including software, branding, documentation, and aggregate analytics (excluding your content). Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

You retain ownership of content you submit. You grant us a license to host, process, transmit, and display your content solely to provide and improve the Services and as required by law or professional obligations.

8. Third-party services

The Services may integrate with third-party platforms (such as authentication or cloud providers). Your use of those services may be subject to separate terms. We are not responsible for third-party services we do not control.

9. Disclaimers

To the fullest extent permitted by applicable law, the Services are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant that the Services will meet your requirements, be uninterrupted, secure, or error-free, or that defects will be corrected. Some jurisdictions do not allow certain disclaimers; in those jurisdictions, our warranties are limited to the maximum extent permitted.

10. Limitation of liability

To the fullest extent permitted by applicable law, in no event will Washington & Wells, its partners, affiliates, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for loss of profits, revenues, goodwill, or data, arising out of or related to your use of the Services, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, our aggregate liability for any claim arising out of or relating to the Services or these Terms shall not exceed the greater of (a) the amounts you paid us specifically for use of the Client Portal in the twelve (12) months before the claim or (b) one hundred U.S. dollars (USD $100), except where liability cannot be limited by law (for example, gross negligence or willful misconduct, where applicable).

11. Indemnification

You will defend, indemnify, and hold harmless Washington & Wells and its personnel from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of your use of the Services, your content, your violation of these Terms, or your violation of third-party rights, except to the extent caused by our gross negligence or willful misconduct.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you breach these Terms, if required by law, or to protect the integrity or security of the Services. Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitation of liability, indemnity, governing law, and dispute provisions) will survive.

Account deletion and data requests are described in our Privacy Policy, on Delete account, and on Support.

13. Governing law and disputes

These Terms are governed by the laws of the United States and the State applicable to your engagement with Washington & Wells, without regard to conflict-of-law principles that would require application of another jurisdiction’s laws, except where preempted by federal law.

Unless you and we agree otherwise in a separate written agreement specific to your matter, exclusive jurisdiction and venue for disputes arising from these Terms or the Services shall lie in the state and federal courts located in the jurisdiction where Washington & Wells’s principal place of business is situated, and you consent to personal jurisdiction there. If you are a consumer, mandatory consumer protection provisions in your country of residence may apply.

14. General provisions

Entire agreement. These Terms, together with the Privacy Policy and any order or engagement letter governing legal services, constitute the entire agreement regarding the Services.

Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

No waiver; severability. Our failure to enforce a provision is not a waiver. If any provision is held invalid, the remaining provisions remain in effect.

Changes. We may update these Terms from time to time. We will post the updated Terms with a revised effective date. Material changes may require additional notice where required by law. Continued use after the effective date constitutes acceptance of the updated Terms.
